Two Separate Annual SSM Obligations

1. Annual Return (Section 68)

2. Financial Statements (Section 259)
- Circulation Deadline: Audited accounts must be circulated to shareholders within 6 months of financial year-end.
- SSM Lodgement: Financial statements must be lodged via MBRS (Malaysian Business Reporting System) within 30 days after circulation.
- Audit Exemption: Dormant companies, zero-revenue companies, and threshold-qualified micro entities may qualify for audit exemption but must still file unaudited financial statements accompanied by a director report.
Consequences of Non-Filing
Late lodgement results in compound penalties against the company and every officer in default under Section 68(9), up to RM50,000.
